Merchant Agreement

This Merchant Agreement ("Agreement") is entered into by and between UnitedPay, a global payment solutions provider with its principal office at 63 Shore Road, Suite 12, Winchester, MA, 01890 ("UnitedPay"), and [Merchant Name] with its principal office at [Insert Address] ("Merchant"). Each may be referred to individually as a "Party" and collectively as the "Parties."

Preamble

UnitedPay provides payment processing services, including payment collection (Pay‑In), payment disbursement (Pay‑Out), API integration, and fraud prevention systems. The Merchant wishes to utilize these services under the terms set forth in this Agreement. For good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows.

Article I – Payment Processing Services

1.1 Orders and Transactions

(a) During the term of this Agreement, the Merchant may submit payment collection or disbursement orders electronically via the UnitedPay API.

(b) Upon receipt of an order, UnitedPay will provide electronic confirmation containing transaction status, payment method details, transaction amounts, and applicable fees.

(c) Once confirmed, the transaction shall be binding on both Parties.

1.2 Settlement

(a) Settlement Reports: UnitedPay will provide a daily settlement report summarizing completed transactions and applicable fees.

(b) Payment Transfer: Funds will be transferred to the Merchant's designated bank account or wallet (as listed in Schedule I) within D0 of transaction completion.

(c) Settlement Delays: If the Merchant fails to settle outstanding balances within the agreed timeframe, UnitedPay may impose an additional charge of 3% per day on the overdue amount.

(d) Currency Conversion: Settlements may be made in local currencies or stablecoins (e.g., USDT) as mutually agreed.

1.3 Technical Integration

(a) UnitedPay will provide API documentation and access to sandbox environments for integration.

(b) Technical and operational support will be available during integration and normal operations.

1.4 Fraud Prevention

(a) UnitedPay will implement fraud detection mechanisms, including CPF validation (Brazil) and two‑step payout verification for high‑risk transactions.

(b) The Merchant must report suspicious transactions to UnitedPay within 1 hour of discovery.

Article II – Fees and Payment Terms

2.1 Fees

Fees for Pay‑In, Pay‑Out, and chargebacks are described in Schedule A. Additional charges may apply for currency conversion, integration customization, and dispute management.

2.2 Invoicing

UnitedPay will issue monthly invoices summarizing applicable service fees. Payments are due within 15 days of invoice receipt.

2.3 Chargebacks

(a) Chargebacks may incur a handling fee of BRL 0 per transaction.

(b) The Merchant is responsible for resolving disputes with their customers within 12 hours of notification.

Article III – Merchant Responsibilities

3.1 Compliance

The Merchant must comply with all applicable regulations, including PCI DSS and GDPR, and must provide accurate documentation during onboarding.

3.2 Data Security

The Merchant is responsible for securely handling customer and transaction data in accordance with PCI DSS standards.

Article IV – Term and Termination

4.1 Term

This Agreement shall remain in effect until terminated by either Party upon 30 days' written notice.

4.2 Termination for Breach

Either Party may terminate this Agreement if a material breach is not cured within 15 days of written notification.

Article V – Dispute Resolution

(a) Disputes shall first be addressed through mediation.

(b) If unresolved, disputes shall be arbitrated under the rules of the Commonwealth of Massachusetts.

(c) This Agreement shall be governed by the laws of the State of Massachusetts.

Article VI – Confidentiality

Both Parties agree to keep confidential all non‑public information obtained through the course of this Agreement. This obligation survives termination of the Agreement.

Article VII – Miscellaneous

7.1 Amendments

Any modifications to this Agreement must be made in writing and signed by both Parties.

7.2 Notices

All notices must be sent to the addresses listed at the beginning of this Agreement.
